How to read an Item 19 (and what it means when there isn't one)

What Item 19 is

Item 19 of a Franchise Disclosure Document is the only place a franchisor may lawfully make a financial performance representation. Everything a salesperson tells you about revenue that is not in Item 19 is, by rule, not a representation you can rely on. That single fact organizes all franchise diligence: get the document, read this item, and treat everything else as conversation.

Averages are marketing; medians are information

An average can be pulled far above the typical unit by a handful of early flagships. Always ask: what is the median? What is the full distribution? What share of units meets the advertised average? In one system we review, the answer to that last question is roughly 31%; in another, the headline average comes from 19 selected units against a system average roughly half as large.

Cohorts and vintages

Fast-growing systems often quote figures from their oldest, best-performing cohort. Both the shiny number and the sober number can be true at once — they describe different units in different years. Ask which FDD year, which cohort, and how many units reported.

When there is no Item 19 at all

Some franchisors publish nothing. That is legal — and it means the burden shifts entirely to you: written questions, franchisee validation calls (Item 20 gives you the list), and a hard rule that nothing verbal counts.

The five questions that survive every FDD

1) Median, not average? 2) Which cohort and year? 3) Which units are excluded and why? 4) What does the full ongoing fee stack total at my projected gross over ten years? 5) What do I own at exit?
